Terms of Service
These terms govern access to and use of Bar Time.
Bar Time Ltd - Terms of Service
Effective date: 26 February 2026
These Terms of Service ("Terms") govern access to and use of the Bar Time application ("the Service"), operated by Bar Time Ltd ("Bar Time", "we", "us", "our"). By creating an account or using the Service, you agree to these Terms.
1. The Service
- 1.1 The Service provides time recording and related practice management tools.
- 1.2 The Service is provided on a subscription basis.
- 1.3 We may improve or modify the Service from time to time provided this does not materially reduce core functionality.
2. Accounts
- 2.1 You must provide accurate account information.
- 2.2 You are responsible for safeguarding login credentials and enabling available security features including multi-factor authentication.
- 2.3 You are responsible for all activity under your account.
- 2.4 You must notify us without undue delay if you suspect unauthorised access.
3. Subscription and Payment
- 3.1 Subscription fees are payable in advance.
- 3.2 If payment is not received when due:
- (a) access may be suspended or disabled; and
- (b) functionality may be restricted without notice.
- 3.3 If an account remains unpaid for six (6) consecutive months, we may permanently delete all associated data.
- 3.4 We are under no obligation to retain data beyond six (6) months of non-payment.
4. Customer Responsibilities
- 4.1 You are solely responsible for:
- (a) ensuring you have lawful authority to process any personal data uploaded;
- (b) compliance with UK GDPR, the Data Protection Act 2018, and professional confidentiality obligations;
- (c) acts and omissions of your employees, directors, partners, contractors, agents, and associates.
- 4.2 We are not liable for loss arising from:
- (a) weak, reused, or shared passwords;
- (b) credential disclosure through phishing or social engineering;
- (c) failure to implement appropriate internal security controls;
- (d) compromise of your own systems or devices.
- (e) failure of date due or task reminder systems. These functions must not be relied upon for limitation dates, court directions, or other time critical matters.
5. Data Protection and GDPR
- 5.1 The parties acknowledge that:
- (a) You act as Data Controller in respect of Client Personal Data processed through the Service.
- (b) Bar Time acts as Data Processor in respect of such Client Personal Data.
- (c) Bar Time acts as Data Controller in respect of Account Data and business operational data.
- 5.2 The Data Processing Schedule at Schedule 1 forms part of these Terms.
6. Data Retention and Deletion
- 6.1 During an active subscription, data will be retained in accordance with your instructions.
- 6.2 Following termination or non-payment exceeding six (6) months, data may be irreversibly deleted.
- 6.3 You are responsible for exporting any data required before termination.
7. Security
- 7.1 We implement appropriate technical and organisational measures including:
- encryption in transit (TLS);
- encryption at rest within cloud infrastructure;
- logical access controls;
- multi-factor authentication for administrative access;
- role-based access restriction.
- 7.2 No system can be guaranteed secure. We do not warrant that the Service is immune from all cyber or information threats.
8. Intellectual Property
- 8.1 All intellectual property rights in the Service remain vested in Bar Time.
- 8.2 You are granted a non-exclusive, non-transferable licence to use the Service during your subscription.
9. Indemnity
- 9.1 You warrant that:
- (a) you have all necessary rights, consents, and lawful bases to process any data uploaded;
- (b) where required, you are registered with the Information Commissioner's Office;
- (c) your use of the Service complies with applicable law.
- 9.2 You shall indemnify us against any claim, fine, penalty, loss, or expense arising from:
- (a) your breach of data protection law;
- (b) your failure to obtain appropriate authority to process data;
- (c) claims arising from data you upload.
10. Limitation of Liability
- 10.1 Nothing excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot lawfully be excluded.
- 10.2 Subject to clause 10.1, we shall not be liable for:
- loss of profits;
- loss of revenue;
- loss of business;
- loss of goodwill;
- indirect or consequential loss.
- 10.3 We are not liable for acts or omissions of your employees, directors, contractors, or associates.
- 10.4 Our total aggregate liability arising out of or in connection with the Service shall not exceed £1,000,000.
- 10.5 The parties agree this cap is reasonable given: the level of subscription fees; the limited data processing role of Bar Time; and the availability of insurance.
11. Termination
- 11.1 You may terminate at any time.
- 11.2 We may terminate for material breach or prolonged non-payment.
12. Governing Law
These Terms are governed by the law of England and Wales.
The courts of England and Wales have exclusive jurisdiction.
Schedule 1 - Data Processing Schedule
1. Subject Matter: Processing of Client Personal Data in order to provide the Service.
2. Duration: For the duration of the subscription and until deletion in accordance with clause 6.
3. Nature and Purpose of Processing: Storage, organisation, retrieval, transmission, and deletion of time recording and related case information.
4. Types of Personal Data: May include client names, contact details, case references, time entries, billing records, and notes entered by the user. Bar Time does not determine the categories of data uploaded.
5. Categories of Data Subjects: As determined by the Customer, which may include clients, witnesses, professional contacts, and counterparties.
6. Processor Obligations: Bar Time shall process personal data only on documented instructions, ensure confidentiality obligations, implement appropriate measures, notify data breaches without undue delay, assist with data subject requests where reasonably required, and delete or return personal data on termination (subject to clause 6).
7. Sub-Processors: The Customer authorises use of cloud infrastructure providers and payment processors including Amazon Web Services, Amazon Cognito, Amazon SES, and Stripe (where applicable). Bar Time shall ensure contractual safeguards are in place.
8. International Transfers: Where data is transferred outside the UK, appropriate safeguards shall be in place in accordance with UK GDPR.
9. Audit: Given the nature of the Service and multi-tenant cloud infrastructure, audit rights shall be satisfied through provision of reasonable written information regarding security measures.
